Terms Of Service

These Terms of Service ("Terms") are a binding agreement between Drone Works, LLC ("Company," "we," "us") and the organization or individual accessing the UAS Dashboard platform, applications, and related services (the "Service"). By creating an account, signing in, or using the Service, you agree to these Terms on your own behalf and on behalf of the organization you represent.

1. The Service

The Service is a software platform for managing unmanned aircraft system (UAS) operations, including flight records, telemetry, scheduling, personnel, equipment, compliance records, and, where enabled, business tools such as quoting and invoicing. The Service is an administrative and record-keeping tool. It is NOT a source of legal, regulatory, or aviation-operational advice, and it is not a substitute for the judgment of a certificated remote pilot.

2. Accounts And Access

You are responsible for the accuracy of information provided at signup, for maintaining the confidentiality of credentials, and for all activity under your account. Accounts are provisioned for a single organization; users must be authorized by that organization. You must notify us promptly of any unauthorized access. We may suspend accounts that present a security risk, violate these Terms, or have unpaid balances.

3. Regulatory Responsibility

You are solely responsible for compliance with all laws and regulations applicable to your UAS operations, including without limitation FAA regulations (e.g., 14 CFR Part 107), airspace authorizations, TFRs and NOTAMs, state and local law, and your agency's or company's own policies. Weather, airspace, TFR/NOTAM, and FAA facility-map information presented in the Service is aggregated from third-party sources, may be incomplete, delayed, or inaccurate, and is provided for situational awareness only. THE SERVICE MUST NOT BE USED AS THE SOLE BASIS FOR ANY FLIGHT DECISION. Always consult official sources and conduct your own preflight assessment.

4. Your Data

As between you and the Company, you own the data you and your users submit to or generate in the Service, including flight logs, telemetry, documents, and business records ("Customer Data"). You grant us a limited license to host, process, transmit, display, and back up Customer Data solely to provide and support the Service. We may use aggregated, de-identified data that does not identify you, your users, or your clients to operate, analyze, and improve the Service.

5. Acceptable Use

You will not: (a) use the Service in violation of law; (b) upload malicious code or attempt to probe, disrupt, or gain unauthorized access to the Service or others' data; (c) resell, sublicense, or provide the Service to third parties except to your own authorized users and clients as intended by the product; (d) use the Service to plan or document unlawful surveillance or unlawful UAS operations; (e) reverse engineer the Service except as permitted by law; or (f) misrepresent your identity or authority.

6. Fees And Billing

Paid plans are billed as described at purchase (including any per-user or per-aircraft overage charges displayed in the product). Fees are non-refundable except as required by law or expressly stated. We may change pricing with reasonable advance notice effective at your next billing period. Late or failed payments may result in suspension after notice.

7. Term And Termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time; closure cancels future billing but does not refund amounts already owed or paid. We may terminate or suspend for material breach, unlawful use, or non-payment. Upon closure, we will make Customer Data available for export for 30 days, after which it may be deleted in the ordinary course, except as retained under Section 4 of the Privacy Policy or as required by law.

8. Third-Party Services

The Service interoperates with third-party services (for example: payment processing, hosting, mapping, weather and airspace data, and manufacturer flight-log integrations such as AirData). Your use of third-party services is governed by their terms, and we are not responsible for their acts, omissions, or data.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF DATA (INCLUDING WEATHER, AIRSPACE, TFR/NOTAM, AND MAP DATA), AND UNINTERRUPTED OR ERROR-FREE OPERATION.

10. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; (b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; AND (c) WE HAVE NO LIABILITY FOR ANY AIRCRAFT OPERATION, PROPERTY DAMAGE, PERSONAL INJURY, REGULATORY VIOLATION, OR ENFORCEMENT ACTION ARISING FROM YOUR UAS OPERATIONS.

11. Indemnification

You will defend and indemnify the Company against third-party claims arising from your UAS operations, your Customer Data, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

12. Modifications To The Service Or Terms

We may modify the Service, and may update these Terms by posting a revised version and requiring re-acceptance for material changes. Continued use after the effective date constitutes acceptance.

13. Governing Law; Disputes

These Terms are governed by the laws of the State of California, without regard to conflicts of law. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Los Angeles County, California.

14. General

These Terms, together with the Privacy Policy and any order or subscription terms, are the entire agreement regarding the Service. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale.
